Terms of Service
These Terms of Service (the “Terms”) are an agreement between you (“you,” the “Customer”) and LAN Holdings LLC (“we,” “us,” “our”), the Maryland limited liability company that operates AgentChannel (the “Service”). By installing AgentChannel from the Shopify App Store, or using the Service through our website (including the free audit at agentchannel.app/audit), you agree to these Terms. If you don’t agree, don’t use the Service.
Plain-English summary (overview, not the binding agreement)
This summary is for convenience only. If it conflicts with the sections below, the sections below control.
- What AgentChannel does. It shows how your store appears to AI shopping agents and, on a paid plan, applies catalog fixes you authorize. The free AI Readiness Audit reads your catalog and content settings and tells you the exact Shopify field to change.
- What we read. Your catalog and content configuration, plus, when the order-data features are enabled for your store, order data (line items and the referral or channel an order came from) to rank your catalog by recent sales, with order-to-agent attribution rolling out on a paid plan. We do not read your customers’ names, emails, phone numbers, or addresses, never see payment card details (Shopify handles all payments), and never touch your checkout.
- AI-assisted fixes. The audit itself is deterministic and uses no AI. On a paid plan, some fixes (store policies, product descriptions) are drafted by AI from your store’s business content for you to review and approve. We never send your customers’ personal data to AI and never train AI models on your data. See our AI Addendum.
- Pricing. Free to install, and the audit is free. Paid plans and their prices are shown on the AgentChannel Shopify App Store listing and in your Shopify admin at checkout; billing is handled by Shopify; cancel anytime in your Shopify admin.
- Not a payment processor. We don’t process payments, custody money, or settle funds. Don’t rely on the Service for chargeback defense, dispute response, tax, accounting, or legal advice.
- Your data + uninstall. How we handle data is in our Privacy Policy and Data Processing Agreement. Uninstall anytime; your data is hidden immediately and permanently deleted about 48 hours later.
- Disputes. Maryland law; disputes are resolved by binding arbitration on an individual basis (you may opt out within 30 days).
The Service
AgentChannel helps Shopify stores see how they appear in Shopify’s AI agent catalog: whether AI agents find your products, whether resellers outrank you, and where the facts are wrong. The free AI Readiness Audit reads your store’s catalog and content settings and shows you the exact Shopify field to change for each gap. On a paid plan, AgentChannel can also apply a fix for you (see “Applying fixes to your store”). AgentChannel runs inside Shopify and works with your store through Shopify’s APIs; your use of Shopify itself is governed by Shopify’s own terms and privacy policy, which we cannot change.
We may provide technical support by email and through the in-app help link; response-time targets per plan are on the Support page. You may give us feedback, in which case we may use it freely without obligation to you. We may collect and use aggregated, de-identified usage data to operate, secure, and improve the Service; we will only disclose usage data to others if it is aggregated and does not identify you.
Eligibility and accounts
To use AgentChannel you must (a) operate a Shopify store in good standing, (b) have authority to agree to these Terms on behalf of that store, and (c) install the app from the Shopify App Store and approve the permissions we request. Your account is tied to your Shopify shop ID; there are no separate AgentChannel logins. You are responsible for managing which of your staff can access AgentChannel through your Shopify admin, and for all actions taken through the Service by anyone using your store’s authenticated Shopify session. Protect your Shopify credentials and tell us promptly if you suspect unauthorized access.
License and ownership
While you use the Service (free or paid), we grant you a limited, non-exclusive, non-transferable right to use it for your own store’s internal business purposes. We own the Service and everything in it except your store data; you own your store data and the audit results about your store. Except for that limited right, we reserve all rights in the Service. You grant us and our subprocessors a worldwide, non-exclusive license to host, copy, process, transmit, and display your store data and any content you submit, only as needed to provide, secure, support, and improve the Service (including running the audit and generating the fixes you request). This license ends when the relevant data is deleted.
Acceptable use
You agree that you will not (and will not allow anyone else to):
- use AgentChannel for any unlawful purpose or in violation of Shopify’s Acceptable Use Policy;
- access another merchant’s data, circumvent our tenant isolation, or probe for security vulnerabilities outside a coordinated disclosure process;
- reverse-engineer, decompile, or try to discover the source code or underlying ideas of the Service, except to the extent applicable law permits;
- resell, sublicense, rent, or repackage the Service to third parties without our prior written consent, or use it to build a competing product;
- use the Service to misrepresent your business or products to AI agents or buyers, or to infringe anyone’s rights; or
- submit to the Service any health information, payment card or financial account numbers, government ID numbers, or special categories of data under GDPR.
If you have an undisputed overdue balance for more than 30 days, breach the restrictions above, or use the Service in a way that materially harms the Service or others, we may suspend your access, with notice where practical, and restore it once the issue is resolved.
Your data responsibilities
You are the data controller for your customers’ personal data, and AgentChannel acts as your processor for any such data it processes on your behalf, solely to provide the Service and on your reasonable instructions, as described in our Data Processing Agreement and Privacy Policy, which form part of these Terms. You are responsible for your own privacy and data-protection compliance, including telling your customers you use AgentChannel and what it does, providing any legally required notices and obtaining any required consents, and having a lawful basis for the data your store collects.
How the audit works, and AI-assisted fixes
The AI Readiness Audit is deterministic: it computes findings directly from your store data and does not use AI. The findings are guidance, not guarantees; you are responsible for reviewing them and deciding what to change. On a paid plan, some fixes are AI-assisted: we use AI to draft a store policy or product description that you review and edit before it is applied. AI drafts can be incorrect, so you must review them before acting, and AI is not a substitute for your judgment. Our use of AI is governed by the AI Addendum, including that we do not use your data, or allow our AI providers to use it, to train AI models.
Applying fixes to your store
On a paid plan, AgentChannel can apply a fix to your live Shopify catalog at your request — for example, setting an unlisted product to active so it is eligible to appear again, or applying an AI-drafted product description or store policy you have reviewed and approved. Before any fix is applied, you grant a separate, optional permission to edit the relevant store data; you can decline it and revoke it later. Each fix is started from within your store, applied one item at a time, and recorded so you can review it and, in most cases, undo it from within the app. Anyone using your store’s authenticated Shopify session can request a fix; you are responsible for that access, and we may rely on a request from your authenticated store as authorized by you. When a fix is applied, Shopify confirms the field changed; we don’t control or guarantee how or when any AI agent reflects the change, because agents read Shopify’s catalog on their own schedule (which can take up to about seven days). You remain responsible for the contents and visibility of your store.
Subscription and payment
AgentChannel is free to install, and the AI Readiness Audit is free to use. Paid plans unlock additional features. Current plans and their prices are shown on the AgentChannel listing in the Shopify App Store and in your Shopify admin at checkout, which is where you see and approve the price before you are charged. Billing is handled entirely by Shopify: it presents the current price, collects your approval, charges your regular Shopify invoice, and applies any price change to an existing subscription only with your approval through Shopify. Paid plans renew automatically for successive periods until you cancel in your Shopify admin; cancellation stops future renewals at the end of the current billing period. Except where required by law or by Shopify’s refund practices, fees already billed are non-refundable. We never see or store your payment card details.
Uninstall, term, and termination
You can uninstall AgentChannel anytime from your Shopify admin. When you uninstall, your data is immediately hidden and background work stops; about 48 hours later Shopify sends us a redact signal and we permanently delete your records, with residual encrypted backups expiring within about 7 days, as described in our Privacy Policy and Data Processing Agreement. The 48-hour gap is a safety net: reinstall within it and your settings come back.
Either party may terminate for the other’s uncured material breach after 30 days’ notice, or immediately on an incurable material breach, insolvency, or ceasing business. We may suspend or terminate your access for a material breach, suspected fraud or abuse, or as required by law or by Shopify. We may also change, retire, or discontinue the Service or a feature; if we discontinue the Service entirely we will give active paid merchants at least 30 days’ notice and not bill past the discontinuation date. On termination your data is handled as described above, and the sections that by their nature should survive (including Limitation of liability, Indemnification, Disclaimer of warranties, Confidentiality, and Dispute resolution) survive.
Disclaimer of warranties
We represent that we will not materially reduce the general functionality of the paid Service during a paid subscription period; if we breach that and cannot restore functionality after notice, your remedy is to terminate the affected subscription and receive a prorated refund of prepaid fees. Except for that, the Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. You represent that you have the rights necessary to submit your store data to the Service.
Limitation of liability
To the maximum extent permitted by law, neither party is liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits or revenues, arising out of or relating to these Terms or the Service, even if advised of the possibility.
Each party’s total aggregate liability for all claims arising out of or relating to these Terms or the Service is limited to the greater of (i) the amount you paid AgentChannel in the 12 months before the event giving rise to the claim or (ii) US$100. For claims arising from a breach of our data-protection or confidentiality obligations, that limit is instead the greater of (i) two times (2×) the amount you paid AgentChannel in those 12 months or (ii) US$1,000. These limitations and the waiver above do not apply to your payment obligations, either party’s indemnification obligations, or any liability that cannot be limited under applicable law.
Indemnification
We will defend and indemnify you against third-party claims that the Service, as provided by us, infringes that third party’s intellectual-property rights, and pay resulting damages and reasonable costs finally awarded; this does not apply to claims arising from your store data, your modifications, use in violation of these Terms, or combination with non-AgentChannel items. You will defend and indemnify the AgentChannel Parties (LAN Holdings LLC and its members, officers, employees, agents, and affiliates) against third-party claims arising from your store data, catalog changes requested through your authenticated Shopify session, or your use of the Service in violation of these Terms or of any third-party right. The party seeking indemnity must give prompt notice, reasonable cooperation, and control of the defense; no settlement that imposes an obligation on or admission by the other party may be made without its consent (not unreasonably withheld).
Confidentiality
Each party may receive the other’s confidential information (including non-public information about the Service, and your non-public store data). The receiving party will use it only to perform under these Terms, will not disclose it except to people bound by confidentiality obligations who need to know it, and will protect it with at least reasonable care. This does not apply to information that is or becomes public through no fault of the recipient, was known without confidentiality obligation, is independently developed, or is lawfully received from a third party. A party may disclose confidential information if required by law, with reasonable advance notice where permitted.
Dispute resolution
Governing law. These Terms are governed by the laws of the State of Maryland, USA, without regard to its conflict-of-laws principles.
Binding arbitration. Except for the Excluded Disputes below, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, by a single arbitrator, seated in Maryland and conducted in English. This agreement to arbitrate is governed by the Federal Arbitration Act (FAA), which controls the interpretation and enforcement of this section. Judgment on the award may be entered in any court of competent jurisdiction.
Class-action and jury waiver. Disputes will be arbitrated only on an individual basis. You and we waive any right to bring or participate in a class, collective, consolidated, or representative action, and waive any right to a jury trial. The arbitrator may not consolidate more than one party’s claims or preside over any class or representative proceeding.
Excluded disputes. Either party may instead bring (i) a claim for injunctive or other equitable relief for infringement or misuse of intellectual property or breach of confidentiality, and (ii) an individual claim within small-claims jurisdiction, in the state or federal courts located in Maryland, to which each party consents to personal jurisdiction and venue.
Opt-out. You may opt out of this arbitration agreement by emailing support@agentchannel.app within 30 days of first accepting these Terms; opting out does not affect the rest of these Terms.
Changes to these Terms
We may update these Terms as the product changes. We email material updates to active merchants and announce them on the AgentChannel admin dashboard; material changes take effect 15 days after we notify you, and continuing to use the Service after that means you agree to the updated Terms. Changes that require new Shopify permissions also require your re-authorization through Shopify.
General
Publicity. We may identify you as an AgentChannel user and use your store name and logo for that purpose in our marketing and on our website; email support@agentchannel.app to opt out.
Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets, which may include transferring data as described in our Privacy Policy.
Force majeure. Neither party is liable for a delay or failure to perform caused by events beyond its reasonable control, including outages of the third-party platforms or infrastructure the Service depends on (such as Shopify, hosting, database, AI, or email providers). This does not excuse your obligation to pay fees already accrued.
Compliance. You will comply with applicable export-control, sanctions, and anti-bribery laws, and you represent you are not located in or a national of an embargoed country or on a sanctions list.
Independent contractors; no third-party beneficiaries. The parties are independent contractors; these Terms create no third-party rights, except that the AgentChannel Parties may enforce the Limitation of liability and Indemnification sections.
Entire agreement; severability; no waiver. These Terms, the Privacy Policy, the Data Processing Agreement, and the AI Addendum are the entire agreement between you and us about the Service and supersede prior statements, including marketing materials; if they conflict about personal data, the Privacy Policy and DPA control. If any provision is unenforceable, the rest stays in effect. Our not enforcing a provision is not a waiver. Notices to us may be sent to support@agentchannel.app.
